Terms of Service

1. Scope

These Terms of Service (“Terms”) govern access to and use of TTG Entertainment Ltd’s games, Stagnum RGS platform, APIs, and related services (“Services”). These Terms apply exclusively to licensed gambling operators, aggregators, and other B2B partners (“Partner”). If you are not a licensed gambling operator or aggregator, you are not authorized to use these Services.

2. Eligibility

To access our Services, the Partner must:

  • Hold all required gambling licenses in the jurisdictions where the Services will be offered to end users
  • Be a legal entity in good standing
  • Have executed a separate commercial agreement with TTG (Game Licensing Agreement, Aggregation Agreement, or equivalent)

These Terms operate alongside, and do not replace, any signed commercial agreement. In the event of conflict, the signed commercial agreement prevails.

3. License Grant

Subject to the terms of the applicable commercial agreement, TTG grants the Partner a limited, non-exclusive, non-transferable license to access and integrate the Services for the purpose of offering TTG games to end users via the Partner’s licensed platform.

4. Partner Obligations

The Partner agrees to:

  • Maintain valid gambling licenses in all operating jurisdictions at all times
  • Comply with all applicable gambling, AML, KYC, and responsible gaming regulations
  • Not sublicense or resell the Services except as explicitly permitted in the commercial agreement
  • Not reverse-engineer, copy, or attempt to replicate TTG’s technology or game logic
  • Ensure end users accessing TTG games are of legal gambling age in their jurisdiction
  • Promptly report any security incidents, technical anomalies, or suspected fraud

5. Intellectual Property

All games, software, RGS infrastructure, trademarks, and technology remain the exclusive intellectual property of TTG Entertainment Ltd. No ownership is transferred. White-label customizations do not transfer IP ownership.

6. Revenue Share & Payments

Commercial terms (revenue share percentages, billing periods, payment methods) are governed exclusively by the signed commercial agreement. TTG issues monthly GGR reports. Disputes must be raised within 14 days of report issuance.

7. Uptime & Support

TTG targets 99.5% platform uptime. Planned maintenance will be communicated in advance. TTG provides technical support to Partners via agreed channels. TTG is not liable for downtime caused by third-party infrastructure, force majeure, or Partner-side issues.

8. Restricted Jurisdictions

Partners may not offer TTG games in jurisdictions where such activity is prohibited by law or where neither the Partner nor TTG holds the required license or authorization. A current restricted jurisdiction list is available upon request.

9. Limitation of Liability

TTG’s total liability to a Partner under these Terms shall not exceed the fees paid by that Partner to TTG in the three (3) months preceding the claim. TTG is not liable for indirect, consequential, or punitive damages. TTG is not responsible for end player losses or disputes — these remain the operator’s responsibility.

10. Termination

Either party may terminate access to the Services in accordance with the signed commercial agreement. TTG may suspend access immediately and without notice in cases of material breach, regulatory action, or security risk.

11. Governing Law

These Terms are governed by the laws of Belize. Any disputes not resolved commercially shall be referred to arbitration in Belize under standard UNCITRAL rules.

12. Changes

TTG may update these Terms with 30 days’ written notice to active Partners. Continued use of the Services after that period constitutes acceptance.
